Tutoring & Editing Services Agreement

Sydney Parrella Consulting LLC

This Tutoring & Editing Services Agreement ("Agreement") is between Sydney Parrella Consulting LLC ("Company") and the individual purchasing services ("Client"). Sydney Parrella ("Consultant") provides the services described below on behalf of the Company.

By booking or purchasing services, Client accepts this Agreement and agrees to be bound by these terms.

1. Services

The Company provides tutoring, test preparation, essay editing, application editing, proofreading, and related educational services.

Client's purchase will identify the specific service or package selected.

Tutoring: Tutoring sessions are provided for the amount of time and number of sessions included in the purchased service or package.

Editing: Editing packages include review, feedback, editing, and revisions for the materials identified in the applicable package description.

2. Payment

Payment is due at the time of booking or purchase unless otherwise agreed in writing.

For packages, payment reserves the Consultant's time and covers the services included in the purchased package.

The Company may begin performing services immediately after payment is received.

3. Tutoring Cancellation and Rescheduling

Tutoring sessions may be cancelled or rescheduled at least 24 hours before the scheduled session without penalty.

A session cancelled with less than 24 hours' notice or missed without notice may be considered used and will not be refunded.

If the Consultant must cancel a session, Client may reschedule or receive a refund for that session.

The Company may make reasonable exceptions to this policy at its discretion.

4. Editing and Unlimited Revisions

Editing packages include unlimited revisions within the scope of the purchased package.

Client may request additional revisions and provide feedback about the Consultant's edits. The Consultant will make reasonable efforts to incorporate Client's preferences while providing professional editorial guidance.

Unlimited revisions do not include:

  • New materials or essays outside the original scope of the package;
  • Services substantially different from those originally purchased; or
  • Repeated revisions that require substantially redoing the same work after reasonable efforts have been made to address the Client's concerns.

Additional services may be purchased separately if agreed upon by the Company.

5. Refunds and Work Already Performed

Because the Company reserves time for each Client and may begin work immediately after payment, fees for services already performed are earned and are not automatically refundable.

If Client requests cancellation after work has begun, the Company may, at its discretion, provide a partial refund for services that have not yet been performed.

For editing packages, work performed includes time spent reviewing materials, editing, preparing feedback, completing revisions, communicating with Client about the work, and otherwise providing the purchased services.

For prepaid packages, any refund will be based on the services remaining to be performed after accounting for work already completed.

6. Professional Relationship and Termination

The Company is committed to providing thoughtful, individualized services and welcomes reasonable questions, feedback, and revision requests.

The Company may terminate the Client relationship if the relationship becomes materially unworkable or continued services are no longer reasonably productive. This may include:

  • Harassing, threatening, insulting, or otherwise disrespectful communication;
  • Personal attacks or inappropriate conduct toward the Consultant;
  • Repeated unreasonable demands or requests outside the scope of the purchased services;
  • Repeatedly requesting substantial changes while rejecting or disregarding the professional feedback necessary to address those requests;
  • Repeatedly requiring the Consultant to redo substantially the same work after reasonable efforts have been made to address the Client's concerns;
  • Failure to provide necessary materials or information within a reasonable period; or
  • A material breakdown in the professional working relationship.

A Client is not in breach of this Agreement merely because they request revisions, disagree with feedback, or have different preferences. The purpose of this provision is to allow the Company to end a relationship when reasonable efforts to work together are no longer productive.

If the Company terminates the relationship, Client remains responsible for services performed through the date of termination. The Company may, at its discretion, refund some or all of the unused portion of a prepaid package.

7. Client Responsibilities

Client is responsible for:

  • Providing accurate and complete information and materials;
  • Communicating deadlines clearly;
  • Providing materials and feedback in a timely manner;
  • Attending scheduled tutoring sessions; and
  • Reviewing and approving all final work before submission.

The Company is not responsible for missed deadlines resulting from Client's late submission of materials, delayed communication, or circumstances outside the Company's reasonable control.

8. No Guarantee of Results

The Company provides educational and editorial support and does not guarantee any particular result. For tutoring and test preparation, the Company does not guarantee a particular test score, percentile, grade, admission decision, scholarship, or other outcome. For editing and application services, the Company does not guarantee admission, employment, funding, or any other outcome. Client remains responsible for the content and accuracy of materials submitted in their name.

9. Academic Integrity and Client Authorship

The Company provides tutoring, feedback, editing, and educational support. Client remains responsible for their own work, ideas, representations, and final submissions. The Company does not knowingly assist Client in submitting work that violates an applicable institution's academic integrity or authorship policies. Client is responsible for reviewing and approving all final materials before submission.

10. Confidentiality

The Company will make reasonable efforts to keep Client information and submitted materials confidential and will not intentionally disclose them to third parties except as necessary to provide the services, comply with law, protect legal rights, or as otherwise authorized by Client.

11. Intellectual Property

Client retains ownership of materials they provide to the Company. Templates, frameworks, instructional materials, and other resources created by the Company remain the Company's property unless otherwise agreed in writing.

12. Electronic Agreement

Client agrees that this Agreement may be accepted electronically. By checking the agreement box during booking or purchase, providing their name, and submitting payment or booking a service, Client confirms that they have reviewed this Agreement and agree to be bound by it. Electronic acceptance will have the same effect as a handwritten signature to the extent permitted by applicable law.

13. Governing Law

This Agreement will be governed by the laws of the State of North Carolina.

14. Entire Agreement

This Agreement, together with the applicable service or package description, constitutes the agreement between Client and Company regarding the purchased services. Any changes to the services or terms must be agreed upon in writing.
